Terms of Service

By creating an account, connecting a store, or using any feature of Kai Londo, you confirm that you are at least 18 years of age, have the legal authority to bind yourself or your organization to these Terms, and agree to comply with them.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes your acceptance of the updated Terms. Material changes will be communicated via email.

Kai Londo is an AI-powered e-commerce operations platform that connects to your Shopify and/or WooCommerce store to provide:

• An AI chat assistant with live access to your store data (orders, products, inventory, customers)
• AI-planned store actions (price updates, inventory changes, product archiving, customer tagging)
• Email marketing campaigns and automation flows powered by Resend
• Inventory monitoring, forecasting, and AI-generated insights
• Order and inventory agent alerts via Telegram
• Gmail inbox integration for AI-assisted customer support replies
• Store health scoring and performance reporting
• PDF report generation

The Service requires you to connect third-party platforms (Shopify, WooCommerce, Gmail, Telegram) via their respective APIs. We act as a data processor on your behalf when accessing these platforms.

You must provide accurate, current, and complete information when creating your account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at hello@kailondo.com

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in prohibited activities.

Human-in-the-Loop Requirement: All AI-generated store mutations (price changes, inventory updates, product status changes, customer tags) are presented to you as an action plan requiring your explicit approval before execution. No changes are made to your store without your confirmation click.

Your Responsibility: You are solely responsible for reviewing all proposed AI actions before approving them. By clicking "Approve & Execute", you authorize Kai Londo to execute the described changes on your store via the connected API.

AI Accuracy: While we strive for accuracy, AI-generated responses, insights, and action plans may contain errors. Always verify important data independently before taking business decisions. The footer notice "Kai Londo can make mistakes. Verify important data." applies at all times.

We are not liable for business losses resulting from AI-generated content, recommendations, or actions that you choose to approve and execute.

Kai Londo connects to third-party services on your behalf. By connecting these integrations, you:

• Authorize us to access the specified data and perform the specified actions on your behalf
• Agree that your use of those platforms remains subject to their own terms of service
• Understand that you can disconnect any integration at any time from the Integrations settings page
• Acknowledge that we are not responsible for downtime, API changes, or errors in third-party services

Third-party platforms include: Shopify, WooCommerce, Gmail (Google), Telegram, and Resend. Each of these has their own terms of service and privacy policies that apply to your use of their services.

Kai Londo provides email marketing tools that send emails to your customers via Resend. By using these features, you agree that:

• You have the legal right to email the recipients (they have opted in or have a legitimate interest basis)
• All emails sent comply with applicable anti-spam laws (CAN-SPAM, GDPR, CASL, etc.)
• You are solely responsible for the content of emails sent through Kai Londo
• You will honor all unsubscribe requests promptly
• You will not use the email features to send spam, phishing, or illegal content

We reserve the right to suspend email sending access if we detect violations of these obligations or abuse of the email infrastructure.

You agree not to use Kai Londo to:

• Violate any applicable law or regulation
• Access, tamper with, or use non-public areas of the Service or our infrastructure
• Probe, scan, or test the vulnerability of any system or network
• Scrape or extract data from the Service beyond your own store data
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Transmit malicious code, viruses, or disruptive data
• Use the AI to generate harmful, fraudulent, or deceptive content
• Resell or sublicense access to the Service without our written consent
• Impersonate any person or entity or misrepresent your affiliation

Free Trial: New accounts receive a 3-day free trial with full access to the platform. No credit card is required during the trial.

Billing: Subscriptions are billed monthly in advance. Prices are shown in USD. We reserve the right to change pricing with 30 days' notice.

Cancellation: You may cancel your subscription at any time. Access continues until the end of the paid period. No refunds are issued for partial months.

Failed Payments: If payment fails, we will attempt to retry for 7 days. After that, your account will be suspended. Your data is retained for 30 days after suspension before permanent deletion.

Our IP: The Kai Londo platform, including its AI models, code, design, and branding, is owned by Kai Londo and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

Your Data: You retain full ownership of your store data, customer data, and any content you provide to the Service. By using Kai Londo, you grant us a limited, non-exclusive license to access and process your data solely to provide the Service.

AI Outputs: AI-generated content (drafts, reports, recommendations, action plans) produced by Kai Londo based on your data is provided to you for your use. We make no claim of ownership over outputs generated specifically from your store data.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure at all times
• AI-generated content, recommendations, or insights will be accurate or complete
• The Service will meet your specific business requirements
• Any errors or defects will be corrected within a particular timeframe

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAI LONDO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM:

• Your use of or inability to use the Service
• AI-generated actions you approved that resulted in unintended store changes
• Third-party API downtime or changes affecting integrations
• Unauthorized access to your account or data
• Any errors, inaccuracies, or omissions in AI-generated content

Our total liability to you for any claims arising from these Terms shall not exceed the amount you paid to us in the 3 months preceding the claim.

You agree to defend, indemnify, and hold harmless Kai Londo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: your use of the Service, your violation of these Terms, your violation of any third-party rights, or the content of emails or actions executed through your account.

By You: You may delete your account at any time from Settings. All your data will be permanently deleted within 30 days.

By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent or illegal activity, or if we are required to do so by law. We will notify you by email unless prohibited by law.

Upon termination, your right to use the Service immediately ceases. Sections 9, 10, 11, 12, and 15 survive termination.

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be subject to binding arbitration.
